1. Agreement to Terms
By accessing and using NOVA Digital Agency's services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

3. Payment Terms
Currency and Pricing
All prices are quoted in USD (United States Dollars) unless otherwise specified. Pricing is subject to change with 30 days' notice.
Subscription Services
- Monthly subscriptions are billed in advance on the same date each month
- Annual subscriptions are billed in advance for the full year
- Subscription fees are non-refundable except as required by law
- You may cancel your subscription at any time, effective at the end of the current billing period
Project-Based Services
- 50% deposit required before project commencement
- Remaining balance due upon project completion
- Payment terms: Net 15 days from invoice date
- Late payments may incur a 1.5% monthly service charge
Refunds
Refunds are available under the following conditions:
- Service cancellation within 7 days of initial purchase (for new clients only)
- Failure to deliver services as outlined in the service agreement
- Mutual agreement between client and NOVA Digital Agency
- Refund processing may take 5-10 business days
4. Client Responsibilities
As a client, you agree to:
- Provide Accurate Information: Supply complete and accurate information required for service delivery
- Timely Communication: Respond to requests for feedback, approvals, and information within agreed timeframes
- Content Provision: Provide necessary content, materials, and assets as required
- Brand Guidelines: Provide existing brand guidelines, if any, and brand-related materials
- Access Credentials: Provide necessary access to social media accounts, websites, and other platforms
- Legal Compliance: Ensure all provided content complies with applicable laws and regulations
- Payment Obligations: Make payments according to agreed terms and schedules
5. Intellectual Property Ownership
Client-Owned Materials
You retain ownership of all materials, content, and information you provide to us, including but not limited to:
- Existing logos, trademarks, and brand materials
- Product information and descriptions
- Photography and existing visual content
- Company information and data
NOVA-Created Materials
Upon full payment, you will own all custom materials created specifically for your project, including:
- Custom logo designs and brand identities
- Original graphic designs and visual content
- Custom written content and copy
- Brand guidelines and style guides
Third-Party Materials
Some projects may include third-party materials such as stock photos, fonts, or software. These remain the property of their respective owners and are licensed for your use according to their terms.
6. Delivery Timelines & Exceptions
Standard Timelines
- Logo Design: 5-7 business days
- Complete Brand Identity: 10-14 business days
- Social Media Setup: 3-5 business days
- Monthly Content Creation: Ongoing, delivered weekly
- Ad Campaign Setup: 3-5 business days
Timeline Extensions
Delivery timelines may be extended due to:
- Delayed client feedback or approvals
- Scope changes or additional requests
- Technical issues beyond our control
- Force majeure events (natural disasters, pandemics, etc.)
- Holidays and weekends (not counted in business days)
Rush Orders
Rush delivery (50% faster than standard timeline) is available for an additional 50% fee, subject to availability and project complexity.
7. Termination Policy
Client Termination
You may terminate services at any time with written notice. Upon termination:
- You will receive all completed work up to the termination date
- Payment is due for all work completed
- Ongoing subscriptions will continue until the end of the current billing period
- No refunds for completed work or current subscription periods
NOVA Termination
We reserve the right to terminate services if:
- Payment is overdue by more than 30 days
- Client violates these terms of service
- Client requests illegal or unethical work
- Client is abusive or disrespectful to our team
8. Liability Limits
NOVA Digital Agency's liability is limited as follows:
- Maximum Liability: Our total liability shall not exceed the amount paid by you for the specific service in question
- Indirect Damages: We are not liable for indirect, incidental, special, or consequential damages
- Business Interruption: We are not liable for lost profits, business interruption, or loss of business opportunity
- Third-Party Claims: We are not liable for claims arising from third-party services or platforms
- Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control
9. Modifications to Terms
We reserve the right to modify these terms at any time. Changes will be effective when:
- Posted on our website with an updated "Last Updated" date
- Notification sent via email to active clients
- 30 days have passed since notification
Continued use of our services after changes constitutes acceptance of the new terms.
10. Dispute Resolution
Informal Resolution
We encourage resolving disputes through direct communication. Please contact us first to discuss any concerns.
Mediation
If informal resolution fails, disputes will be resolved through mediation before pursuing legal action.
Governing Law
These terms are governed by the laws of Somaliland, and any disputes will be resolved in the courts of Borama, Somaliland.
